TERMS AND CONDITIONS FOR PARTICIPATION IN THE WINBET.BG AFFILIATE PROGRAMME<\/p>

WINBET.BG is an electronic website \/ internet-based online platform (\u201cSite\u201d, \u201cPlatform\u201d) for betting, administered and operated by the owner of the website\/platform, WIN BET ONLINE EOOD, UIC 203294705, having its registered seat and management address at: Sofia, Pancharevo district, m-t \u201cVrana-Lozen-Triagalnika\u201d residential area, 4 Maritsa Street, hereinafter also referred to as the \u201cOrganizer\u201d.<\/p>

\u00a0<\/p>

The WINBET.BG Affiliate Programme (\u201cAffiliate Programme\u201d, \u201cProgramme\u201d) has been created in order to expand the customer network, facilitate end customers\u2019 access to the services offered through the Site, and regulate the relations between the Organizer and the registered affiliates (\u201cAffiliates\u201d).<\/p>

\u00a0<\/p>

These Terms and Conditions for participation in the WINBET.BG Affiliate Programme (\u201cTerms and Conditions\u201d) govern the rules for registration and participation in the Programme for the Republic of Bulgaria, as well as the rights and obligations of the Organizer and the Affiliates (the \u201cParties\u201d).<\/p>

\u00a0<\/p>

\u00a0<\/p>

Registration and Participation in the Affiliate Programme<\/p>

\u00a0<\/p>

Article 1.<\/p>

(1) Any natural or legal person wishing to join the WINBET.BG Affiliate Programme must expressly declare that they agree with and accept these Terms and Conditions and must submit electronically their application\/candidature for participation in the Programme by completing the electronic affiliate application form available on this website, as well as provide the information and documents required by the Organizer for establishing the applicable licensing, advertising and regulatory requirements.<\/p>

\u00a0<\/p>

(2) The Organizer shall have the right to accept or reject the application\/candidature under the preceding paragraph without being obliged to provide reasons for its decision.<\/p>

\u00a0<\/p>

(3) The Organizer\u2019s decision to reject the application\/candidature shall be final and shall not be subject to amendment and\/or review.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 1a.<\/p>

(1) The Affiliate declares and warrants that where a licence is required for the activity performed by it under the applicable legislation, including under the Gambling Act, it shall maintain a valid licence for the entire period of its participation in the Affiliate Programme.<\/p>

\u00a0<\/p>

(2) Any Affiliate which, as of 1 August 2026, has an existing relationship with the Organizer and to which the transitional regime under the Gambling Act applies, shall be obliged, no later than 15 August 2026, to provide the Organizer with proof of submission of an application for the issuance of a licence.<\/p>

\u00a0<\/p>

(3) The Affiliate shall be obliged, immediately upon issuance of the licence, to provide the Organizer with a copy of the issued licence or certificate.<\/p>

\u00a0<\/p>

(4) The Affiliate shall be obliged to notify the Organizer immediately of any change in its licensing status, including in the event of refusal, suspension, temporary or final revocation, termination, expiration or amendment of the licence.<\/p>

\u00a0<\/p>

(5) Upon request, the Affiliate shall be obliged to provide additional documents and information necessary to establish the lawful performance of the activity.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 1b.<\/p>

(1) The Affiliate shall be obliged to provide the Organizer with a complete and up-to-date list of all websites, mobile applications, social media profiles, video platforms and streaming platforms through which it promotes WINBET or gambling games, and such list must fully correspond to the information declared by it before the National Revenue Agency for the purposes of its licence.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to use a new channel that has not been provided in advance to the Organizer where such prior provision is required by the Organizer or by the applicable legislation.<\/p>

\u00a0<\/p>

(3) The Affiliate shall be obliged to notify the Organizer of any change in the channels used before commencing promotion through the respective new channel. Promotion through channels not registered with the National Revenue Agency shall constitute a material breach and shall be grounds for immediate termination of the profile without entitlement to commission.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 2.<\/p>

(1) The Organizer shall confirm acceptance of the application by express notice sent to the applicant\/candidate at the email address specified in the application.<\/p>

\u00a0<\/p>

(2) Upon confirmation of the application\/candidature by the Organizer, the applicant shall acquire the status of a registered Affiliate.<\/p>

\u00a0<\/p>

(3) In the event that the Organizer rejects the application\/candidature for participation in the WINBET.BG Affiliate Programme, it shall notify the applicant\/candidate of its refusal by a refusal notice sent to the email address specified in the application.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 3.<\/p>

These Terms and Conditions for participation in the WINBET.BG Affiliate Programme shall enter into force, shall be binding between the Parties, and shall be mandatory for each registered Affiliate upon their express acceptance by the Affiliate and confirmation of the registration by the Organizer. These Terms and Conditions certify and serve as evidence of the relations between the Parties.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Referral Commission. Calculation and Payment<\/p>

\u00a0<\/p>

Article 4.<\/p>

(1) Based on the activity of the Customer(s) referred by the Affiliate, registered pursuant to Article 8(1) of these Terms and Conditions, the Organizer shall pay the Affiliate a commission (\u201creferral commission\u201d) in an amount of up to 50% of the Organizer\u2019s clean net profit, formed in accordance with paragraphs 2 and 3 of this Article and Article 5 of these Terms and Conditions, and recorded on the basis of the monthly bets of the Customer(s) referred by the Affiliate who have opened their own customer account and have staked real money in any of the sections of the WINBET.BG website. The commission shall be paid as a percentage of the net revenue generated by the customers referred by the Affiliate who were active in the relevant calendar month, in accordance with the conditions set out in these Terms and Conditions. Upon joining this Affiliate Programme, the Affiliate\u2019s account shall be assigned our default commission of up to 50% of the net profit. The Affiliate shall be entitled to receive commission for each customer referred by it for a period of 2 (two) years as from the date of the customer\u2019s registration on the Organizer\u2019s website, except where the Affiliate\u2019s participation in the Programme is terminated for any reason whatsoever. Commission shall be due only insofar as the Affiliate\u2019s participation, the channels used by it and the activity performed by it are lawful and comply with the applicable requirements of the Gambling Act, these Terms and Conditions and the Organizer\u2019s written instructions.<\/p>

\u00a0<\/p>

(2) The commission shall be determined on the basis of the net profit for the relevant reporting period, as follows:<\/p>

\u00a0<\/p>

Net profit up to EUR 10,000 \u2013 30% commission<\/p>

Net profit from EUR 10,001 to EUR 20,000 \u2013 35% commission<\/p>

Net profit from EUR 20,001 to EUR 40,000 \u2013 40% commission<\/p>

Net profit from EUR 40,001 to EUR 50,000 \u2013 45% commission<\/p>

Net profit over EUR 50,000 \u2013 50% commission<\/p>

(3) The Organizer shall pay referral commission only if, during the respective month, not fewer than 3 (three) new customers referred by the Affiliate have registered on WINBET.BG, opened their own customer accounts, and at least 5 (five) customers referred by the Affiliate have been active. Active customers shall mean those customers referred by the Affiliate who have placed bets in the amount of not less than 50 (fifty) currency units (EUR) on WINBET.BG, regardless of the section of the website in which their gaming activity took place.<\/p>

\u00a0<\/p>

(4) The minimum amount that the Affiliate may request for payment shall be generated commission in the amount of 50 currency units (EUR).<\/p>

\u00a0<\/p>

(5) In the calculation of the monthly affiliate commission payable to an Affiliate that is a legal entity registered in the territory of the Republic of Bulgaria, value added tax (VAT) is not included in the amount of the commission and shall be charged on top thereof. The Affiliate shall be responsible for the payment of any taxes on the income from the affiliate programme in accordance with the legislation applicable thereto.<\/p>

\u00a0<\/p>

(6) For the avoidance of any doubt, the Affiliate shall be solely responsible for all costs related to its marketing and advertising obligations in connection with the Programme.<\/p>

\u00a0<\/p>

(7) Affiliates that are legal entities must send an invoice to affiliates@winbet.com no later than the 5th day of the month following the reporting period. The invoice must contain the company name, UIC, registered seat and management address, legal representative, VAT number, invoice number, amount due, date, period and description of the service. Failure to comply with the deadline for sending invoices may result in a 1% fee being charged on the amount receivable, but not less than EUR 50, which shall be deducted from the commission due.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 4a.<\/p>

(1) Where, by virtue of the applicable legislation, a state fee or other mandatory public charge is due on result-based commission remuneration and is withheld and paid by the Organizer, the Affiliate expressly agrees that the Organizer has the right and obligation to withhold the respective amount from the accrued remuneration.<\/p>

\u00a0<\/p>

(2) In the cases under paragraph 1, payment to the Affiliate shall be made only for the balance remaining after deduction of the due fee, public charge or other mandatory statutory payment.<\/p>

\u00a0<\/p>

(3) The amount withheld and paid by the Organizer under paragraph 1 shall be deemed paid in the respective part to the Affiliate as well.<\/p>

\u00a0<\/p>

(4) In the event of subsequent inspections, audits, corrections, reversals, disputed accruals, establishment of sham transactions, legislative changes or issuance of binding instructions by a competent authority, the Organizer shall have the right to make corrections, set-offs, retentions or additional deductions from future payments to the Affiliate. In the event of findings from inspections carried out by the National Revenue Agency of the Organizer concerning breaches related to the Affiliate, the latter shall owe the Organizer the amount under the statement of findings of the tax administration.<\/p>

\u00a0<\/p>

(5) The Affiliate shall be obliged to cooperate with the Organizer and, upon request, provide all documents and information necessary for the proper determination, declaration and payment of the due fees and public obligations.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 5.<\/p>

(1) In determining the amount of the referral commission due by the Organizer, the rules set out below in this Article shall apply, and the following terms and concepts shall have the meanings assigned to them below:<\/p>

\u00a0<\/p>

5.1. Net profit \u2013 Net profit is formed on the basis of the referred customer\u2019s activity during a calendar month, whereby the following are deducted from the amount of bets placed: the amount of winnings paid out; the difference between bets placed with bonus funds and the winnings paid thereon; administrative fees, taxes, supplier fees and disputed payments.<\/p>

\u00a0<\/p>

5.2. Disputed payments \u2013 payments where the holder of a credit\/debit card establishes that the payments were made through unauthorized transactions by a third party and has notified the bank that the payment should be annulled and the sums refunded. In the event of disputed transactions made by customers referred by the Affiliate, the disputed amount shall be withheld and deducted from the commission due to the Affiliate for the relevant calendar month.<\/p>

\u00a0<\/p>

(2) In the event that the value of disputed payments exceeds the commission generated by the Affiliate and the Affiliate\u2019s account has a negative balance, the amount of the negative balance shall be carried forward to the next calendar month and must be covered by the next commission due to the Affiliate. In such case, the value of the commission for the relevant month shall be formed as the difference between the commission determined in accordance with Articles 4 and 5 of these Terms and Conditions and the value of the negative balance carried forward from the previous month.<\/p>

\u00a0<\/p>

(3) In the event that the customers referred by the Affiliate generate negative revenue for the relevant calendar month, such revenue shall be carried forward to subsequent reporting periods and deducted from the financial result in the following months until a positive balance is reached. Commission may be paid only after the negative result from previous months has been covered and a positive balance generating commission exceeding the minimum amount of 50 currency units (EUR) required for payment has been reached.<\/p>

\u00a0<\/p>

(4) In the event that the customers referred by the Affiliate generate revenue for the relevant calendar month but the conditions for payment of commission under Article 4 are not met, such revenue shall be carried forward to subsequent reporting periods until the conditions under Article 4 of these rules are fulfilled.<\/p>

\u00a0<\/p>

(5) The Organizer reserves the right to periodically change the structure of the commission formation (or part thereof) for any reason it deems appropriate.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 6.<\/p>

(1) The sums representing referral commission shall be calculated and paid to the Affiliate by the end of the calendar month following the month for which the commission is due, after receipt of an invoice, in the relevant currency unit, by one of the following methods selected in advance by the Affiliate:<\/p>

6.1. To a pre-opened ePay.bg account;<\/p>

6.2. By bank transfer to an account specified by the Affiliate.<\/p>

\u00a0<\/p>

(2) Commission shall be paid only to banks in the Republic of Bulgaria and\/or the European Union.<\/p>

\u00a0<\/p>

(3) The Affiliate shall choose and specify the method of commission payment when submitting the affiliate application.<\/p>

\u00a0<\/p>

(4) If the Affiliate enters incorrect payment\/payment method details, the Organizer shall not be liable and the payment shall be deemed duly made.<\/p>

\u00a0<\/p>

(5) In the event that the Affiliate does not agree with the reports or the amount due to it, it must not request or accept payment of such amount, but shall immediately (no later than 7 days) send written notice to the Organizer of its disagreement; otherwise, its right to dispute shall be barred. Acceptance of a payment transfer or acceptance of any other payment from the Organizer shall be deemed full and final payment of the commission for the relevant period. Notwithstanding the foregoing, if any overpayment is made in the calculation of the Affiliate\u2019s revenue, the Organizer reserves the right to correct such calculation at any time and recover from the Affiliate any overpayment made by the Organizer to the Affiliate.<\/p>

Rights and Obligations of the Organizer<\/p>

\u00a0<\/p>

Registration of Customers<\/p>

\u00a0<\/p>

Article 7.<\/p>

(1) For the purposes of these Terms and Conditions, \u201cCustomer(s)\u201d shall mean visitors referred by the Affiliate who, through their own registration on the website and\/or opening of their own customer account, become part of the Organizer\u2019s customer database.<\/p>

\u00a0<\/p>

(2) The Organizer shall have the right to accept the registration of customers referred by the Affiliate and to track their transactions.<\/p>

\u00a0<\/p>

(3) Registration of a Customer referred by the Affiliate on the WINBET.BG website shall be carried out by means of a special code provided by the Organizer to the Affiliate after confirmation of the Affiliate\u2019s registration in accordance with Article 2(1) of these Terms and Conditions.<\/p>

\u00a0<\/p>

(4) The Organizer shall have the right, at its discretion and\/or upon the occurrence of the conditions and\/or events specified in these Terms and Conditions, to refuse the registration of Customer(s) and\/or close already opened customer accounts.<\/p>

\u00a0<\/p>

(5) By registering on the WINBET.BG website and opening their own customer account, each Customer referred by the Affiliate becomes a customer of the WINBET.BG website, and all rules and procedures of the Organizer regarding participation and use of the website shall apply to them.<\/p>

\u00a0<\/p>

(6) The Affiliate shall not be entitled to create other affiliate accounts for its relatives or employees, nor to register \/ direct such persons for registration on the Organizer\u2019s website.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Tracking of Activity<\/p>

\u00a0<\/p>

Article 8.<\/p>

(1) The Organizer shall be obliged to monitor the bets, participation and activity of the Customer(s) referred by the Affiliate and to provide the Affiliate with reports on customer activity by sending them to the account opened by the Organizer for each registered Affiliate.<\/p>

\u00a0<\/p>

(2) The report under the preceding paragraph shall be prepared and sent by the Organizer to the Affiliate by the 15th day of the month following the month to which the report relates.<\/p>

\u00a0<\/p>

(3) In the event of any discrepancy between a report in the system at https:\/\/winbetaffiliates.com\/ and the WINBET database, the latter shall be deemed authoritative.<\/p>

\u00a0<\/p>

(4) The Affiliate shall provide the Organizer, within the period under paragraph 2, with a detailed monthly report regarding the placement of the Organizer on its website, including photographic material.<\/p>

\u00a0<\/p>

(5) Upon request, the Affiliate shall be obliged within 3 (three) business days to provide the Organizer with information regarding the placement of advertising materials, the channels used, the content published and the method of referring customers, including photographic material, URL addresses and other evidence.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 8a.<\/p>

(1) The Affiliate shall be obliged to provide the Organizer with all documents, information and evidence related to:<\/p>

\u00a0<\/p>

its licensing status;<\/p>

the channels used;<\/p>

the method of promotion;<\/p>

the published content;<\/p>

the recorded customer activity;<\/p>

the issued accounting and tax documents.<\/p>

(2) The Affiliate shall be obliged to retain for a period of not less than 5 years evidence of the activity performed by it, including publications, advertising materials, links, campaigns, reports, correspondence, approvals and documents for accrued remuneration.<\/p>

\u00a0<\/p>

(3) Failure to provide the requested documents and evidence shall be deemed a material breach of these Terms and Conditions.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Rights and Obligations of the Affiliate<\/p>

\u00a0<\/p>

Links<\/p>

\u00a0<\/p>

Article 9.<\/p>

(1) By submitting an application for registration in the Affiliate Programme and by accepting these Terms and Conditions, the Affiliate gives its consent to the maintenance of unique links from its website to the Organizer\u2019s website WINBET.BG. Maintenance of the link to the WINBET.BG website shall be carried out only by one of the following methods: banners, articles or text links.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to manipulate\/shorten\/modify the links assigned by the affiliate platform.<\/p>

\u00a0<\/p>

(3) The Affiliate may use the advertising links only through channels that have been provided to the Organizer and are permissible under the applicable legislation and these Terms and Conditions.<\/p>

\u00a0<\/p>

(4) Breach of paragraph 1 and\/or 2 and\/or 3 shall be grounds for unilateral termination of the Affiliate\u2019s membership in the Programme by the Organizer.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 10.<\/p>

(1) The minimum number of new customers referred by the Affiliate during the last 3 months must be at least 9 (nine). If the Affiliate fails to meet this requirement, the Organizer shall have the right to unilaterally terminate the Affiliate\u2019s membership in the Programme.<\/p>

\u00a0<\/p>

(2) Commission revenues from the affiliate programme are based entirely on the current activity of the Affiliate. Commission on an Inactive affiliate account, which shows no or almost no activity in attracting new customers, may be reduced by 5%. The Affiliate\u2019s account shall be deemed \u201cInactive\u201d and the commission may be reduced by 5% in each of the following cases:<\/p>

\u00a0<\/p>

Traffic stoppage for more than 10 days within one calendar month (no registered clicks (zero)) from the Affiliate\u2019s unique links;<\/p>

Failure to meet the requirement to attract at least 3 (three) newly registered customers with activity within the calendar month;<\/p>

Failure to publish\/promote at least one of the Organizer\u2019s last three promotional campaigns, of which the Affiliate has been notified by email;<\/p>

Publication of outdated advertising materials and\/or promotion of a promotional campaign more than 48 hours after its expiry.<\/p>

\u00a0<\/p>

Spam and Unauthorized Software<\/p>

\u00a0<\/p>

Article 11.<\/p>

If it is established that the Affiliate advertises the Organizer\u2019s products and services in an unauthorized manner or in a manner other than that specified in these Terms and Conditions, the Affiliate\u2019s membership in the Programme shall be terminated by the Organizer without notice. In such case, the Affiliate shall not have the right to make any claims and\/or requests against the Organizer in connection with its participation in the Programme, nor to bind the Organizer with guarantees and\/or obligations. Unauthorized advertising shall also include carrying out affiliate activity without the required licence, using a channel not provided to the Organizer, working for the benefit of an unlicensed operator, or publishing content in breach of the rules on advertising gambling games.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 12.<\/p>

(1) Websites that contain and advertise unauthorized, malicious software such as: Trojan horses, robots\/programmes generating unauthorized high traffic and activity on our advertising materials, viruses, spyware and data theft programmes, or programmes intended to violate, exploit or intentionally misuse the personal information of our customers, are strictly prohibited.<\/p>

\u00a0<\/p>

(2) In the event of non-compliance with the prohibition under the preceding paragraph, the Organizer shall have the right to close the affiliate account without being obliged to give prior notice to the Affiliate. In such case, the Affiliate shall not be entitled to receive affiliate commissions and\/or any other payments in connection with its participation in the Affiliate Programme.<\/p>

\u00a0<\/p>

(3) The Affiliate must comply with all applicable laws and any policy notified by the Organizer through its website or otherwise in connection with anti-money laundering measures and\/or suspicious transactions.<\/p>

\u00a0<\/p>

(4) The Affiliate shall be entitled to publish the advertising materials provided only on Bulgarian websites (respectively translated and available in Bulgarian), which are not connected with and do not offer content and\/or advertising of gambling websites not licensed for the territory of the Republic of Bulgaria.<\/p>

\u00a0<\/p>

(5) In the event of non-compliance with the prohibition under the preceding paragraph, the Organizer shall have the right to close the affiliate account without being obliged to give prior notice to the Affiliate. In such case, the Affiliate shall not be entitled to receive affiliate commissions and\/or any other payments in connection with its participation in the Affiliate Programme.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Affiliate Collusion and Fraud<\/p>

\u00a0<\/p>

Article 13.<\/p>

(1) Affiliate collusion (\u201cCollusion\u201d) is an intentional act or conduct by an Affiliate or a group of Affiliates aimed at obtaining undue profits through mutual connection between them. If such unauthorized actions or gaming conduct are established, the Organizer shall have the right not to pay the generated commission.<\/p>

\u00a0<\/p>

(2) For the purposes of these Terms and Conditions, the following actions or conduct by an Affiliate or group of Affiliates shall also be deemed Collusion:<\/p>

\u00a0<\/p>

Interrelated bonus abuse for the purpose of obtaining affiliate income;<\/p>

Interrelated betting activity using the same betting models and schemes, for the purpose of acquiring higher commissions or obtaining higher betting limits, including but not limited to:<\/p>

2.2. Unauthorized betting with large sums guaranteeing certain winnings regardless of the final outcome of a given sporting event or a market related thereto.<\/p>

2.3. Excessive and deliberate betting on a single sporting event for the purpose of unauthorized enrichment and obtaining certain and regular profits, such as customer activity between 50-100% on a particular market or one event without any other played markets or events.<\/p>

If the Organizer identifies such a type of customer referred by the Affiliate, the Organizer shall have the right to require subsequent and additional verification; to close a customer account; or to take actions to prevent future losses.<\/p>

Initiated and deliberate action aimed at encouraging chargebacks from real players for the purpose of obtaining commissions;<\/p>

Offering sums to other affiliates or players for the purpose of obtaining a share of the referral commission due to the Affiliate;<\/p>

Registration of duplicate affiliate accounts or player\/customer accounts for the purpose of collusion and fraud;<\/p>

Initiation of subsequent actions which, at the discretion and judgment of the Organizer, may be categorized as means and methods for achieving and obtaining undue profits.<\/p>

\u00a0<\/p>

Article 14.<\/p>

(1) Each Affiliate shall be entitled to one affiliate account. If a second account opened for the same Affiliate is identified, the Organizer shall have the right to close both affiliate accounts without being obliged to provide reasons for the closure and\/or to send a warning to the Affiliate. This provision shall apply analogously where more than two accounts are identified.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to create a customer account in its own name using the advertising materials (banners, texts and links) provided to it through the WINBET.BG Affiliate Programme. If such a breach is established, the Organizer shall have the right to unilaterally terminate the Affiliate\u2019s membership in the Programme without being obliged to provide reasons for the termination and\/or to send a warning to the Affiliate.<\/p>

\u00a0<\/p>

(3) Each customer referred by an Affiliate shall be entitled to open only one customer account in its own name. In the event that the Organizer establishes duplication of accounts, it shall have the right to require additional documents or to close customer accounts.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Other Rights and Obligations<\/p>

\u00a0<\/p>

Article 15.<\/p>

(1) The Affiliate shall not be entitled to register trademarks and\/or in any way use the name WINBET\/WINBET.BG or other names related to the WINBET\/WINBET.BG trademarks, as well as names similar to those trademark names.<\/p>

\u00a0<\/p>

(2) Breach of paragraph 1 shall be grounds for unilateral termination of the Affiliate\u2019s membership in the Programme by the Organizer.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 16.<\/p>

(1) The Affiliate shall not be entitled to purchase, register and\/or use keywords, search terms or referral terms that are identical or similar to the WINBET.BG trademark, as well as any other names that may be associated with the WINBET\/WINBET.BG brand.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to register or apply to register domain names that are identical or similar to WINBET\/WINBET.BG or that in any way contain the phrase WINBET.<\/p>

\u00a0<\/p>

(3) Breach of paragraph 1 and\/or 2 shall be grounds for unilateral termination of the Affiliate\u2019s membership in the Programme by the Organizer.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 17.<\/p>

(1) The Affiliate shall be entitled to use only the current advertising materials approved by the Organizer (banners, texts, logos, etc.). The Affiliate shall be obliged to use the advertising materials in accordance with all applicable requirements of the Gambling Act and only in channels approved by the Organizer.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to alter the appearance or integrity of the approved advertising materials, nor to use materials other than those provided at https:\/\/winbetaffiliates.com\/, including, but not limited to, making or applying any changes to the promotional materials on the WINBET.BG website.<\/p>

\u00a0<\/p>

(3) Breach of paragraph 1 and\/or paragraph 2 shall be grounds for unilateral termination of the Affiliate\u2019s membership in the Programme by the Organizer.<\/p>

\u00a0<\/p>

(4) The Affiliate must accept and visibly display the latest links and advertising materials provided by the Organizer on all pages of the Affiliate\u2019s website in a manner agreed by the Organizer and at a place approved by the Organizer, without changing the format, placement or action of the links without the Organizer\u2019s prior consent. The Affiliate shall be entitled to referral commission based on the continuous promotion of Sports at WINBET.BG, Casino at WINBET.BG, or Live Casino at WINBET.BG. The Organizer reserves the right to reduce the commission percentages if the Affiliate reduces its efforts to attract new customers, as well as if the uploaded advertising materials are not up to date.<\/p>

\u00a0<\/p>

(5) If the Affiliate wishes to offer any incentives and\/or bonuses to potential players, it must obtain prior written approval from the Organizer before commencing such activity in any manner. If it does not obtain such approval but offers such incentives and\/or bonuses, the Organizer reserves the right to terminate the Affiliate\u2019s participation in the Programme and refuse payment of all previously earned but unpaid commissions. The Affiliate shall not be entitled to offer bonuses, incentives, refunds, prizes or other benefits related to the promotion of WINBET without the Organizer\u2019s prior written approval and unless permitted under the applicable legislation.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 17a.<\/p>

(1) The Affiliate shall be responsible for the lawfulness of the content published by it and for its compliance with the applicable rules on advertising gambling games.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to publish content containing false, misleading or incomplete statements regarding WINBET, its services, bonuses, winnings or conditions for participation.<\/p>

\u00a0<\/p>

(3) Upon receiving instruction from the Organizer, the Affiliate shall be obliged to immediately cease publication and remove certain content.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 18.<\/p>

If suspicious or fraudulent traffic is detected, it shall cause damage to the Organizer, in which case the Organizer shall have the right to terminate the membership and sanction the Affiliate by withholding the referral commission due to it.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 19.<\/p>

(1) Any information provided by the Organizer to the Affiliate in connection with its participation in the Affiliate Programme or contained in or provided with these Terms and Conditions is confidential and constitutes a trade secret, being directly related to the Organizer\u2019s business activity \/ operations and technologies related to the Affiliate Programme, commissions, etc. By submitting the registration application and accepting these Terms and Conditions, the Affiliate agrees not to use and\/or disclose any information regarding the Organizer\u2019s activity that has become known to it during or in connection with its participation in the Affiliate Programme.<\/p>

\u00a0<\/p>

(2) The Affiliate may use the information referred to in the preceding paragraph only with the Organizer\u2019s express written consent and only where necessary for exercising its rights and performing its obligations regulated by these Terms and Conditions.<\/p>

\u00a0<\/p>

(3) The obligation of confidentiality and trade secrecy regulated in the preceding paragraphs of Article 19 shall remain in force after termination of the Affiliate\u2019s participation in the Affiliate Programme.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 20.<\/p>

During or in connection with its participation in the Affiliate Programme, the Affiliate shall be obliged to conduct its actions and behavior in compliance with the provisions of the Protection of Competition Act and Directive 2002\/58\/EC of the European Parliament and of the Council of 12 July 2002 concerning the processing of personal data and the protection of privacy in the electronic communications sector, as well as all other laws and regulations governing the protection of personal data and confidentiality of information.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 21.<\/p>

(1) The Affiliate shall bear full responsibility for the development, maintenance and operation of its website(s), as well as for all articles and materials published thereon and in each of its advertising channels. The Affiliate shall also be responsible for ensuring that the channels used by it, the content published and the promotion model comply with the applicable licensing, advertising and regulatory requirements.<\/p>

\u00a0<\/p>

(2) The Affiliate shall be obliged to ensure that the published content does not contravene the law or contain false information, and that all advertising materials are intended for persons over 18 years of age. The Affiliate shall also be responsible for ensuring that the channels used by it, the content published and the promotion model comply with the applicable licensing, advertising and regulatory requirements.<\/p>

\u00a0<\/p>

(3) The Affiliate shall bear full responsibility for the content published by it and its lawfulness under paragraphs 1 and 2 and shall be obliged to take all necessary measures to protect the Organizer from damages, claims and expenses (including court fees and expenses, attorney fees, etc.) which the Organizer may incur in connection with the development, maintenance and content of the Affiliate\u2019s website. For the avoidance of doubt, the Organizer shall bear no liability whatsoever for the advertising materials published by the Affiliate. The WINBET.BG Affiliate Programme is intended solely and exclusively for direct participation by the Affiliate. If an Affiliate wishes to transfer its account to a different holder, it must notify the Organizer thereof, and the Organizer shall have the right to approve or refuse such transfer without being obliged to state reasons for its decision.<\/p>

\u00a0<\/p>

(4) The Affiliate shall not be entitled to modify or alter any banners, articles or links that are subject to the Copyright and Related Rights Act and the Trademarks and Geographical Indications Act. All trademarks must be used only in a manner pre-approved by the Organizer.<\/p>

\u00a0<\/p>

(5) Illegal traffic is not tolerated. Banners and links may not be placed or promoted through unauthorized emails, chat rooms, posts in various social groups or through the use of robots. Any of the listed actions may lead to termination of membership in the Programme.<\/p>

\u00a0<\/p>

(6) If the Organizer establishes any form of spam traffic caused by the Affiliate or if the Affiliate discredits and\/or harms the good name of WINBET\/WINBET.BG by unauthorized or incorrect advertising, whether in written form or by misrepresented wording, the Organizer shall have the right to unilaterally terminate the Affiliate\u2019s participation in the Programme.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 22.<\/p>

(1) The Affiliate alone and exclusively shall be responsible for correctly referring customers to WINBET.BG.<\/p>

\u00a0<\/p>

(2) Only correctly redirected customers shall be recorded to our Affiliates. If it is established that an Affiliate has in any way used an incorrect referral and registration code to the Organizer, the respective customers shall not be reported or recorded in its affiliate account.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 23.<\/p>

No connection whatsoever may exist between the website of a registered Affiliate and WINBET.BG beyond that regulated in these Terms and Conditions.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 24.<\/p>

Each Affiliate, when registering in our Affiliate Programme as a private individual, by accepting these Terms and Conditions, pursuant to Article 43, paragraph 6 of the Personal Income Tax Act, declares that it is registered as a self-insured person within the meaning of Article 5, paragraph 2 of the Social Security Code.<\/p>

\u00a0<\/p>

Conditions, Termination and Inappropriate Websites<\/p>

\u00a0<\/p>

Article 25.<\/p>

These Terms and Conditions shall enter into force and be binding upon the Affiliate and the Organizer from the moment when the Affiliate registration procedure has been successfully completed and approval has been received from the Organizer.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 26.<\/p>

(1) In addition to the cases of unilateral termination of an Affiliate\u2019s participation in the Affiliate Programme specified in these Terms and Conditions, participation in the Programme and the binding effect of these Terms and Conditions for the Parties may be terminated by either Party \u2014 Organizer or Affiliate \u2014 by sending a notice of termination to the other Party. Where termination is due to lack, expiration, revocation or failure to provide the required licence, the Organizer shall have the right to terminate the Affiliate\u2019s participation with immediate effect.<\/p>

\u00a0<\/p>

(2) The notice may be sent in writing or to the email address specified by the Parties.<\/p>

\u00a0<\/p>

(3) Participation in the Programme shall be deemed terminated upon receipt of the notice of termination by the Party to which such notice was sent.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 27.<\/p>

(1) The Organizer may also unilaterally terminate an Affiliate\u2019s participation in the Programme if the Organizer considers the Affiliate\u2019s website to be inappropriate.<\/p>

\u00a0<\/p>

(2) Inappropriate are websites belonging to the following categories: intended for children, displaying pornography or other sexual acts, promoting or containing violence and any kind of discrimination based on race, sex, sexual orientation or age, promoting illegal activities or infringing intellectual property rights, or advertising regulations or codes of practice.<\/p>

\u00a0<\/p>

(3) Also inappropriate are websites, channels or platforms through which affiliate activity is carried out without the necessary licence, unlicensed operators are promoted, or content is published in breach of the rules on advertising gambling games.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 28.<\/p>

(1) Upon termination of membership in the Programme, the binding effect of these Terms and Conditions shall also terminate, except in the cases under Article 19(3).<\/p>

\u00a0<\/p>

(2) Upon termination of membership, the Affiliate shall be obliged to remove all WINBET\/WINBET.BG banners and advertising materials from its website and all channels used, as well as to return to the Organizer all copies of materials and documents containing information about or in connection with the Affiliate Programme that it possesses.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 29.<\/p>

(1) The Affiliate and the Organizer are independent parties, and the Affiliate\u2019s acceptance of and agreement to these Terms and Conditions shall not create a partnership, joint venture, agency, franchise, commercial representation or employment relationship between the Affiliate and the Organizer.<\/p>

\u00a0<\/p>

(2) The Affiliate shall not be entitled to accept and\/or make offers and proposals in the name or on behalf of the Organizer.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Additional Terms and Provisions<\/p>

\u00a0<\/p>

Article 30.<\/p>

If, after termination of an Affiliate\u2019s membership in the Programme, the Organizer continues to provide its services to customers referred by the Affiliate, this shall not mean that the Affiliate\u2019s membership in the Programme and\/or the effect of these Terms and Conditions between the Parties has been extended.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 31.<\/p>

After termination of the membership and\/or the effect of these Terms and Conditions between the Parties, the Organizer shall have the right to withhold the last commission payment due to the Affiliate for a reasonable period of time in view of the proper calculation and payment of the correct amount due.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 32.<\/p>

(1) In the event that the Affiliate fails to perform any of its obligations regulated by these Terms and Conditions, the Organizer shall have the right to unilaterally terminate the Affiliate\u2019s membership in the Programme and\/or refuse payment of the referral commissions due as of the date the breach is established and\/or the membership is terminated.<\/p>

\u00a0<\/p>

(2) The Organizer shall have the right to unilaterally terminate the Affiliate\u2019s participation in the Programme when:<\/p>

\u00a0<\/p>

the Affiliate fails to provide proof of a submitted licence application by 15 August 2026, where the transitional regime applies;<\/p>

the Affiliate fails to present the issued licence upon completion of the relevant administrative proceedings;<\/p>

the Affiliate performs activity without the required licence;<\/p>

the Affiliate promotes an unlicensed operator;<\/p>

the Affiliate uses undeclared or unapproved channels;<\/p>

the Affiliate breaches the rules on advertising gambling games;<\/p>

the Affiliate provides false or incomplete information regarding its licensing status, channels or activity;<\/p>

the Affiliate fails to issue and\/or provide in due time a proper document for accrued commission;<\/p>

the Affiliate provides a document containing false, incomplete, misleading or unlawful data;<\/p>

the Affiliate repeatedly or systematically breaches its obligations relating to documentation, accounting and cooperation in connection with the remuneration;<\/p>

failure to provide a document or information creates a risk that the Organizer may breach a tax, accounting, social security or other statutory obligation of its own.<\/p>

\u00a0<\/p>

Article 33.<\/p>

The Affiliate shall not be entitled to transfer its participation in the Affiliate Programme to a third party without the Organizer\u2019s express prior written consent.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 34.<\/p>

Each Party shall owe compensation to the other Party for caused damages and loss of profits in accordance with the provisions of the applicable Bulgarian legislation.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 35.<\/p>

(1) The Parties shall use their best efforts to resolve amicably all disputes concerning the validity, interpretation and performance of these Terms and Conditions and\/or participation in the WINBET.BG Affiliate Programme.<\/p>

\u00a0<\/p>

(2) All disputes arising out of or relating to these Terms and Conditions and\/or participation in the WINBET.BG Affiliate Programme, including disputes arising out of or relating to interpretation, invalidity, performance or termination, as well as disputes concerning filling gaps in the Terms and Conditions or adapting them to newly arisen circumstances, shall be resolved by the competent Bulgarian court.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 36.<\/p>

For all matters not regulated in these Terms and Conditions, the provisions of the applicable Bulgarian legislation shall apply.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 37.<\/p>

All messages and notices between the Parties shall be in writing for validity purposes, and this requirement shall also be deemed complied with if they are sent by email.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 38.<\/p>

(1) Upon the Affiliate\u2019s acceptance of these Terms and Conditions, a valid contractual relationship shall arise between the Affiliate and the Organizer in connection with the Affiliate\u2019s participation in the WINBET.BG Affiliate Programme.<\/p>

\u00a0<\/p>

(2) The Organizer shall have the right to unilaterally amend these Terms and Conditions or individual provisions thereof, and to notify and publish the amendment by means of an express notice published on this website.<\/p>

\u00a0<\/p>

(3) If an already registered Affiliate does not agree with the amendments made to the Terms and Conditions, it may unilaterally terminate its participation in the Programme and the binding effect of the Terms and Conditions in accordance with Article 26.<\/p>

\u00a0<\/p>

(4) No other amendments, supplements or deletions to these Terms and Conditions and rules, other than those made in accordance with paragraph 2, shall be permitted or recognized by us. None of our employees or agents shall have the right to make or agree to any changes to the terms of the Affiliate Programme.<\/p>

\u00a0<\/p>

\u00a0<\/p>

Article 39.<\/p>

(1) With regard to Affiliates which, as of 01.08.2026, have existing relationships with the Organizer, the provisions of these Terms and Conditions concerning the licensing regime, the permissible promotion channels, the obligation to provide information and documents, the restrictions concerning advertising content, as well as the grounds for suspension of payments and termination of the affiliate relationship, shall apply to all activity performed by them after 01.08.2026.<\/p>

\u00a0<\/p>

(2) The Affiliates under paragraph 1 shall be obliged to bring their activity into compliance with these Terms and Conditions and, where a licensing regime applies to them under the applicable legislation, no later than 15.08.2026 to provide the Organizer with proof of submission of an application for the issuance of a licence.<\/p>

\u00a0<\/p>

(3) If the documents under the preceding paragraph are not provided in due time, the Organizer shall have the right to suspend payment of commissions, restrict affiliate activity and terminate the Affiliate\u2019s participation in the Affiliate Programme with immediate effect.<\/p>
